Establishing the Position of the Chief Strategy Officer

Resolution: GBR-2016-08-10-1

 

Background

The USTC Alumni Foundation (USTC AF) has been a volunteer-run organization since its inception, and the personnel changes too frequently. The Board of Directors (the Board) has determined the frequent personnel change is limiting the growth potential of the AF, and its capability to best fulfills its charter of promoting the interest of USTC. As such, the Board decides to establish a Chief Strategy Officer (CSO) position, in the hope to bring us the benefit of medium- and long-term strategic planning, and effective leadership.

Responsibility

A person duly appointed as the Chief Strategy Officer of the USTC AF, has the following responsibilities:

  1. Driving decision-making that creates the medium- and long-term improvement of AF.
  2. Communicating and implementing AF’s strategy internally and externally so that all employees, volunteers, partners understand the foundation-wide strategic plan and how it carries out AF’s overall goals.
  3. Establishing and reviewing key strategic priorities and translating them into a comprehensive strategic plan.
  4. Partnering with departmental/unit leaderships, special committees, and project teams to support execution of key initiatives.
  5. Translating strategies into actionable and quantitative plans.
  6. Acting as a resource across USTC AF to increase the Broad cohesion for strategic plans.

Authorities

A person duly appointed as the Chief Strategy Officer of the USTC AF is granted the following authorities. Such a person is allowed to further delegate portions of the authorities to his/her team members/volunteers.

  1. Recruit, hire and terminate team member. Authorities and obligations of the team shall not exceed the authorities and obligations of the CSO, ruling entirely within the discretion of the CSO.
  2. Mobilize and manage teams of individuals charged with executing strategies.
  3. Monitor the execution of the strategic plan; ensure departmental/unit strategic planning projects reflect AF strategic priorities.
  4. Communicate the strategy and relevant issues on behalf of the AF, through electronic or other means, to members, USTC and the public in general.
  5. Communicate with all members or non-members for fund raising campaigns.
  6. Empowered to veto or adjust any departmental/unit plan/activity, which might have an adverse effect on the overall implementation of the strategy of the foundation.

Non-authorities

The Chief Strategy Officer and his/her team members are specifically prohibited from the following without the written consent of the Board or its duly authorized committees:

  1. Entering into any agreement with any parties outside the areas of responsibilities above.
  2. Committing the AF to any financial obligations beyond a 12-month period, or with an increasing amount measured on a quarterly pro-rated basis. (i.e. no long term or ballooning service contracts)
  3. Representing the AF in any communications that conflict with any of the AF's bylaws, corporate charter, or resolutions.

Compensations

The Chief Strategy Officer shall be a volunteer without compensation. The operational costs incurred by the CSO and its team will be automatically covered if within a limit as a predetermined percentage of AF’s annual income or a budget preapproved by the board; otherwise, a special approval from the board is required.

Appointment and Termination

The Board shall appoint the Chief Strategy Officer in the form of a resolution. The candidate shall meet the following two basic requirements:

  1. Worked at AF as volunteer for at least two years within five years before the appointment;
  2. Served on the Board within five years or served as the chair of the Board within ten years before the appointment.

The board shall be able to terminate the appointment of the Chief Strategy Officer to any person without prior notice, or with any reason for doing so, or the need to find the person at fault for any wrongdoing. Such termination shall also be in the form of a resolution.
